UbiquiTools understands how important privacy is to our users. This Privacy Policy will tell you what information we collect about you and about your use of UbiquiTools and its services. It will explain the choices you have about how your personal information is used and how we protect that information. We urge you to read this Privacy Policy carefully.

This Privacy Policy applies to web sites owned and operated by UbiquiTools that are intended for use by consumers, all mobile and other applications developed by UbiquiTools, as well as all services provided in accord with the Terms of Use (collectively, the "Services"). The Terms of Use are specifically incorporated herein and made a part hereof, and by making use of UbiquiTools and the Services, you agree to this Privacy Policy and the Terms of Use.

References to UbiquiTools mean UbiquiTools, LLC its agents, successors, and assigns.

Information Collected. UbiquiTools and our service providers may collect the following information from and about you:

Personal Information "Personal Information" for purposes of this Privacy Policy is the information that identifies you as an individual or relates to an identifiable person, such as name, postal address (including billing and shipping addresses), telephone number, email address, credit or debit card number, or profile picture.

Personal Information From You We collect Personal Information when, for example, you register for or subscribe to certain Services; create a profile; take a survey; use the Services; use an interactive feature; participate in a community forum, as available; or contact customer service.

Personal Information We Receive from Third Parties We may receive Personal Information about you from third parties, such as social media services or other third-party service integrations (each, an “Integrated Service”), commercially available sources, UbiquiTools affiliates, business partners, and, if applicable to you, the third-party provider of your subscription. The Personal Information we receive from third-parties may include, for example, your name, contact information, information about your transactions, purchase history, or relationships with various product and service providers, and your use of certain applications. For example, if you access the Services through an Integrated Service or connect the Services to an Integrated Service, the information we collect may also include your user name associated with that Integrated Service, any information or content the Integrated Service has the right to share with us, such as your profile picture, email address or contacts list, and any information you have made public in connection with that Integrated Service. When you access the Services through Integrated Services or when you connect the Services to Integrated Services, you are authorizing UbiquiTools to collect, store, and use such information and content in accordance with this Privacy Policy.

Content In using the Services, you may upload or input various types of content, including but not limited to: tasks, attachments, project names, team names, and conversations (together, the “Content”). If you are using the Services in connection with an account created by a third-party administrator (the “Customer”) (e.g., employer, organization, or an individual), we collect and process the Content you submit on behalf of the Customer. As described more throughout this Policy, our Customers, and not UbiquiTools, determine their own policies regarding storage, access, modification, deletion, sharing, and retention of Content which may apply to your use of the Services. For example, a Customer may provide or remove access to the Services, enable or disable third party integrations, manage permissions, retention and export settings, transfer or assign teams, or share projects. Please check with the Customer about the policies and settings that they have instituted with respect the Content that you provide when using the Services.

Payment Information If you are a user of paid-Services, we will utilize a third party credit card payment processing company to collect payment information, including your credit card number, billing address and phone number. The third party service provider, and not UbiquiTools, stores your payment information on our behalf.

Other Information "Other Information" is any information that does not reveal your specific identity, such as browser information, app usage data, information collected through cookies and other technologies, demographic information, and aggregated information.

Other Information You Submit We collect Other Information when you submit it to us. It may include your gender, zip code, birthday, education, occupation, and interests.

Other Information We Receive from Third Parties We may receive Other Information about you from third parties, including, for example, demographic data, social media account number, information about your interests, and information about your activities on other websites.

Other Information We Collect Automatically When You Are Online When you access and interact with our the Services, we and our service providers may automatically collect certain information about those visits. For example, in order to permit your connection to the Services, our servers receive and record information about your computer, device, and browser, potentially including your IP address, browser type, and other software or hardware information. If you access the Services from a mobile or other device, we may collect a unique device identifier assigned to that device ("UDID"), geolocation data, or other transactional information for that device.

UbiquiTools and our service providers also may use cookies and other tracking technologies (such as browser cookies, pixels, beacons, and Adobe Flash technology including cookies) when you visit or use the Services. Third parties that support the Services by serving advertisements or providing services, such as providing users with the ability to comment on content, allowing users to share content, customizing content based on usage, or tracking aggregate site usage statistics, may also use these technologies to collect Other Information on the Services and on other websites.

Most browsers are initially set to accept cookies, but you can change your settings to notify you when a cookie is being set or updated, or to block cookies altogether. Please consult the "Help" section of your browser for more information. You can manage the use of Flash technologies with the Flash management tools available at Adobe's website, http://www.adobe.com/devnet/security.edu.html. Please note that by blocking any or all cookies you may not have access to certain features or personalization available through the Services.

How Information Is Used. UbiquiTools may provide you or the Customer certain privacy controls within the Services and allow you to make specific selections with regard to what information remains private (“Private Information”) and what information is public (“Public Information”). Information that we collect from publicly accessible sources will always be considered Public Information within the meaning of this Privacy Policy, and Personal Information and other information that we are required to maintain in confidence either by law or contract will always be considered Private Information. If no such privacy controls are implemented for the Services or any particular feature of the Services, then only that information specifically denoted as Private Information either above or within the Services will be deemed Private Information. The Company may further aggregate and anonymize data, including Private Information, regarding your usage of the Services (“Aggregate Data”). All Aggregate Data will be deemed Public Information. Except as specifically noted herein, through in-Service privacy controls, or in a separate Subscription Agreement (as defined in the Terms), UbiquiTools may use and share Public Information in its discretion. UbiquiTools may only use and share Private Information for those specific purposes set forth herein, through in-Service privacy controls, or in a separate Subscription Agreement.

We may use Public and Private Information that we collect, alone or in combination with information provided by third-parties or collected from publicly accessible sources, to:

  • Provide you with Services;

  • Improve and expand our Services;

  • Respond to inquiries you send to us;

  • Enhance your experience with the Services;

  • Obtain feedback from you about UbiquiTools and our Services; and

  • Provide you with solicited news and updates.

We may additionally use Public Information and Private Information to:

  • Announce that you and/or your company have begun using the Services.

  • UbiquiTools may further use your Public and Private Information, alone or in combination with information provided by third-parties or collected from publicly accessible sources, as we believe to be necessary or appropriate in order to: (i) protect, enforce, or defend the legal rights, privacy, safety, or property of UbiquiTools, our UbiquiTools affiliates or their employees, agents and contractors (including enforcement of our agreements and our terms of use); (ii) protect the safety, privacy, and security of users of our products and Services or members of the public; (iii) protect against fraud or for risk management purposes; (iv) comply with the law or legal process, including laws outside your country of residence; or (v) to respond to requests from public and government authorities including public and government authorities outside your country of residence.

Cookies. We may use cookies and web beacons to collect information about your use of the website and Services. A cookie is a small piece of information sent by a website that is stored on your computer hard disk by your computer’s browser. A web beacon is an embedded image on a website that monitors a user’s activity. We may make use of both session and persistent cookies. Session cookies exist for only so long as your web browser remains open. Persistent cookies last from visit to visit, and do not go away when you close your browser. Managing cookie preferences differs from browser to browser so please refer to your browser for further information. If you would like to disable cookies and web beacons from UbiquiTools, please use the help function in your web browser to restrict cookies from our website. However, if you block cookies from UbiquiTools, you will not be able to make use of some or all of the Services.

How Information is Shared. UbiquiTools and its subsidiaries may share your Public and Private Information with one another, as well as with UbiquiTools affiliates for the purposes described in this Privacy Policy, including for each company's marketing purposes.

In addition, we may share your Public and Private Information with non-affiliated third-parties when sharing is permitted by you or authorized by this Privacy Policy, including:

To manage corporate or third-party subscriptions. If your subscription to a Service is provided in whole or in part by your employer or other third party, we may notify the provider of such subscription when you access or use your subscription. When providing these notices, we may reveal limited amounts of your Private Information such as your name or email address.

To allow third-party service providers to assist us in providing and managing our Services. We may make your Private Information available to certain third-party service providers, such as contractors, agents or sponsors, who help us manage or provide our products and Services by, for example: developing or supporting products and features; sending email messages on our behalf; processing payments; fulfilling orders; delivering subscriptions; auditing; processing data or statistics; and serving, customizing or delivering marketing or ads. These outside service providers are required to protect Private Information entrusted to them and not use it for any other purpose than the specific service they are providing to us.

To provide co-branded Services and features. We may offer co-branded Services or features, such as webinars or other promotions together with a third party ("Co-Branded Services"). These Co-Branded Services may be hosted on the UbiquiTools Online Services or on the third party's service. By virtue of these relationships, we may share the information you submit in connection with the Co-Branded Service with the third party. The third party's use of your information will be governed by the third party's privacy policy.

To permit unaffiliated third parties to send you promotional materials. We may share your Private Information with unaffiliated third parties for such parties' own marketing purposes only if you have given us permission to do so.

To allow Services integration. If you log in with or connect an Integrated Service with the Service, we may share your user name, picture, and likes, as well as your activities and comments with other Services users and with your connections associated with your Integrated Service. We may also share the same information with the Integrated Service provider. By logging in with or connecting your Services account and your Integrated Service, you are authorizing us to share information we collect from and about you with the Integrated Service provider, other users and your connections, and you understand that the Integrated Service’s use of the shared information will be governed by the Integrated Service’s privacy policy. If you do not want your Private Information shared in this way, please do not connect your Integrated Service account with your Services account, and do not participate in social sharing on the Services.

To protect the rights of UbiquiTools and others. There may be instances when UbiquiTools may disclose your Private Information, including situations where we have a good faith belief that such disclosure is necessary in order to: (i) protect, enforce, or defend the legal rights, privacy, safety, or property of UbiquiTools, our UbiquiTools affiliates or their employees, agents and contractors (including enforcement of our agreements and our terms of use); (ii) protect the safety, privacy, and security of users of our products and Services or members of the public; (iii) protect against fraud or for risk management purposes; (iv) comply with the law or legal process, including laws outside your country of residence; or (v) to respond to requests from public and government authorities including public and government authorities outside your country of residence.

To complete a merger, sale of assets, or bankruptcy. If UbiquiTools sells all or part of its business or makes a sale or transfer of its assets or is otherwise involved in a merger, bankruptcy, or transfer of all or a material part of its business, UbiquiTools may transfer your information to the party or parties involved in the transaction as part of that transaction.

How Information Is Protected. We take reasonable security measures consistent with federal and state law to protect the security of your Private Information, including the use of encryption or Secure Socket Layers connections for the transmission of any Private Information, as defined in Massachusetts regulation 201 CMR 17.02, through the website or Services. In so much as personal email is generally not encrypted, we request that no Private Information be sent to us via email.

We will retain your Private Information as long as an account is active or as needed to provide you Services. You may, at any time, instruct us to remove Private Information, but you should be aware that it is not technologically possible to remove each and every record of the information you have provided to UbiquiTools from our servers. We will also retain your Private Information as necessary to comply with legal obligations, resolve disputes and enforce our agreements.

User Preferences and Opt-Out Choices. Email, Direct Mail, Telemarketing, and Third-Party Sharing. To opt out of:

  • Receiving promotional or marketing emails from UbiquiTools at a specific email address;

  • Receiving direct mail;

  • Receiving calls;

  • Receiving notifications provided as part of the Services;

  • Disclosure of your information to third-parties; and

  • Use of your information for a purpose that is materially different from the purpose(s) for which it was originally collected or subsequently authorized.

You may:

  • Use the unsubscribe link in the footer of any email sent by UbiquiTools;

  • Manage notification preferences inside the Services; or

  • Contact us by mail at the address below.

Do Not Track (DNT). UbiquiTools does not currently have the capabilities to recognize the various Do Not Track signals from different web browsers. For more information on Do Not Track please visit http://www.allaboutdnt.org/.

Children Under 13. The Children's Online Privacy Protection Act imposes requirements on websites that collect Personal Information about children under 13. Our policy is not to collect any Personal Information on any person under 13, and use of the website or Services by children under the age of 13 is a violation of the Terms of Use.

California Privacy Rights. Under California Civil Code sections 1798.83-1798.84, California residents are entitled to ask us for a notice describing what categories of Personal Information we share with third-parties or corporate affiliates for those third-parties or corporate affiliates' direct marketing purposes. That notice will identify the categories of Personal Information shared with third-parties and used for direct marketing purposes and the name and address of the third-parties that received such Personal Information. If you are a California resident and want a copy of this notice, please submit a written request to the address below. In your request, please specify that you want a "California Privacy Rights Notice." Please allow 30 days for a response.

Location of Data. Your Personal Information may be stored, transferred to, and processed in any country where we have facilities or in which we engage service providers, and by using our products and Services, you consent to the processing and transfer of information to countries outside of your country of residence, including the United States, which may have different data protection rules than in your country.

Data Retention. We will retain your Personal Information for the period necessary to fulfill the purposes outlined in this Privacy Policy unless a longer retention period is required or allowed by law.

Linked Services. The Services may also be linked to sites operated by third parties, and may carry advertisements or offer content, special offers, functionality, games or applications developed and maintained by third parties. Some of these third party sites may be co-branded with a UbiquiTools logo, even though they are not operated or maintained by us. UbiquiTools is not responsible for the privacy practices of any such third parties, and once you leave the Services or click an advertisement, or sign up for a special offer, you should check the applicable privacy policy of the other service.

If you do not accept the terms of this Privacy Policy, we ask that you do not register with us, do not solicit our Services, and that you do not use the UbiquiTools website.
